COLORADO CARVERS CLUB
CONSTITUTION
Article I. NAME
This nonprofit corporation shall be known as the Colorado Carvers Club (CCC).
Article II. OBJECTIVES
The objectives of CCC shall be to promote and develop interest in and increase knowledge of wood carving.
Article III. MEMBERSHIP

Active membership is open to any individual.

Family membership includes spouse and/or children under the age of eighteen.

A charter member is one who joined CCC on or before the January 1974 meeting.

Article IV. OFFICERS

The elected officers of CCC shall be: President, Vice-President, Secretary, and Treasurer.

Any member in good standing for one year shall be eligible for office.

Article V. BOARD OF DIRECTORS

The Board of Directors (the Board) shall be composed of the elected officers, two at-large directors, and the immediate past President.

The Board shall be the administrative body of CCC and shall meet at the President’s direction but not less than quarterly.

Article VI. MEETINGS

There shall be monthly meetings of CCC during the year, except during June and July.

The annual meeting of the membership shall be in November of each year.

Article VII AMENDMENTS
-

Any proposed amendment to the Constitution may be submitted in writing to
any member of the Board by any member of CCC in good standing and must be submitted at least three months before the meeting at which it is to be voted upon. -
Notice of any proposed amendment shall be published in the monthly newsletter for two successive months and called to the attention of the members present for two successive meetings before being voted upon at a meeting.

A two-thirds majority of the members present and voting at the meeting announced for voting upon the proposed amendment shall be sufficient to adopt an amendment.

Article VIII. MISCELLANEOUS

In the event of the termination of CCC, all moneys remaining in the treasury after all bills have been paid will be given to any organization having exception under Section 501 of the Internal Revenue Code, the organization to be decided by a majority vote of the members in good standing of CCC present at the meeting at which the question is presented.

No part of CCC’s assets shall ever inure to the benefit of any one or more of its members; provided that (a) cash awards may be made in carving competitions sponsored by the CCC; and (b) CCC funds may be utilized for expenses, honorariums, and fees for educational purposes for the members, such as seminars and similar purposes, as approved by a majority of the members in good standing present and voting at the meeting at which the question is presented.

Any CCC member in good standing shall be eligible for such payments as specified in Article VIII (2) above.
